Terms of Service (Cool Art Japan)

Effective Date: 24 December 2025

These Terms of Service (“Terms”) govern your access to and use of the website and online store operated by Cool Art Japan (株式会社Cool Art Japan) (“Cool Art Japan,” “we,” “us,” or “our”), including the purchase of artworks and related products (collectively, the “Services”). By using our Services, you agree to these Terms.

If you do not agree, please do not use the Services.


1. Definitions

  • “Customer,” “you”: any person or entity using the Services.
  • “Artwork(s)” / “Product(s)”: paintings, prints, framed works, and related items sold by us.
  • “Order”: your purchase request submitted through our store.
  • “Made-to-order” / “Customized”: items produced or modified after purchase (e.g., framing, special packaging, commissions).

2. Eligibility

You must be at least the age of majority in your country/region to purchase from our store. If you purchase on behalf of a business, you represent that you have authority to bind that business to these Terms.


3. Product Information & Color Disclaimer

We strive to display accurate descriptions, images, dimensions, materials, and condition notes. However:

  • Colors and appearance may vary due to monitor/device settings and lighting.
  • Minor differences and natural variations may exist, especially for original artworks and handmade items.
  • Unless explicitly stated, images are for display purposes and may not reflect exact scale.

4. Prices, Currency, Taxes & Duties

  1. Prices are shown in [JPY / USD / other] as indicated on the product page/checkout.
  2. Prices may change without notice, but changes do not affect Orders already accepted by us.
  3. International orders may be subject to customs duties, import taxes, VAT/GST, brokerage fees, or other charges imposed by your country/region. These charges are your responsibility unless we expressly state otherwise in writing.

5. Orders & Contract Formation

  1. Submitting an Order is an offer to purchase.
  2. The purchase contract is formed when we send you an Order Confirmation email or otherwise confirm acceptance (including shipment confirmation).
  3. We may refuse or cancel an Order in reasonable circumstances, including (a) suspected fraud, (b) pricing/description errors, (c) inventory/availability issues, (d) payment failure, or (e) shipping restrictions.

If we cancel after you’ve paid, we will refund the amount paid for the cancelled item(s) in accordance with Section 10 (Refunds).


6. Payment

We accept payment methods shown at checkout (e.g., card, PayPal, bank transfer, etc.). Payment must be completed before shipment unless we explicitly agree otherwise.

If payment authorization fails or is reversed, we may suspend or cancel the Order.


7. Shipping, Delivery & Inspection

  1. Shipping destinations, fees, carriers, and estimated handling times are shown at checkout or on the product page.
  2. Estimated delivery dates are not guarantees and may be affected by carrier delays, customs processing, weather, or other factors outside our control.
  3. Upon delivery, please inspect the package and contents promptly.

8. Title & Risk of Loss

Unless otherwise required by applicable law:

  • Title passes to you when we have received full payment and have handed the package to the carrier.
  • Risk of loss or damage generally passes to you upon handover to the carrier; however, we will work with you and the carrier/insurer to resolve transit damage claims as described in Section 9.

9. Damaged, Defective, or Incorrect Items

If your Product arrives damaged, defective, or incorrect:

  1. Contact us within [7] days of delivery.
  2. Include your order number and clear photos of (a) the outer box, (b) inner packaging, and (c) the damage/issue.

If we determine the issue is our responsibility, we will, at our option:

  • replace the item (if available),
  • repair (if feasible), or
  • refund you (in whole or in part).

10. Cancellations, Returns & Refunds

10.1 Order Cancellations

  • Orders may be cancelled only if the item has not been shipped and production/framing has not started (if applicable).
  • Once shipped, Orders cannot be cancelled.

10.2 Returns (Customer Remorse)

Because artworks are delicate and may be one-of-a-kind, we do not accept returns for change of mind unless explicitly stated on the product page or in a written agreement.

10.3 Non-returnable Items

The following are not eligible for return except for damage/defect/incorrect delivery under Section 9:

  • Made-to-order or customized items (including framing performed after purchase)
  • Commissioned works
  • Sale/clearance items marked “final sale”
  • Items damaged after delivery due to improper handling/storage by the Customer

10.4 Refund Timing & Method

If a refund is approved, it will be issued to the original payment method unless otherwise agreed. Shipping fees, duties, and taxes are generally non-refundable unless required by law or the return is due to our error.


11. Authenticity & Provenance

  1. We describe artworks in good faith based on information reasonably available to us (including artist/galleries/consignors where applicable).
  2. Unless explicitly stated as “authenticated” or “with certificate,” we do not guarantee third-party authentication outcomes, future valuation, or investment performance.
  3. If we provide a certificate of authenticity or similar documentation, its scope is limited to what is described in the document and/or on the product page.

12. Intellectual Property (Copyright)

  1. Website content (text, images, logos, design) is owned by or licensed to us and protected by intellectual property laws.
  2. Purchasing an Artwork does not transfer copyright in the Artwork unless we explicitly agree in writing.
  3. You may not copy, reproduce, publish, sell, or commercially exploit any website images/content without our prior written permission.

13. Prohibited Conduct

You agree not to:

  • use the Services unlawfully or fraudulently;
  • interfere with the website’s operation or security;
  • attempt to access non-public areas or accounts;
  • violate any third-party rights (including IP/privacy).

14. Disclaimer of Warranties

To the fullest extent permitted by law, the Services and Products are provided “as is” and “as available.” We disclaim all warranties not expressly stated, including implied warranties of merchantability and fitness for a particular purpose.

Nothing in these Terms limits warranties that cannot be excluded under applicable consumer law.


15. Limitation of Liability

To the fullest extent permitted by law:

  • We will not be liable for indirect, incidental, special, consequential, or punitive damages (including lost profits).
  • Our total liability relating to an Order will not exceed the amount you paid for the Product(s) giving rise to the claim.

This limitation does not apply to liability that cannot be limited by law (e.g., intentional misconduct, gross negligence where prohibited).


16. Indemnification

You agree to indemnify and hold us harmless from claims, losses, and expenses arising from your misuse of the Services or your breach of these Terms.


17. Changes to the Services or Terms

We may update the Services and these Terms from time to time. Updated Terms will be posted on our website with a revised effective date. Continued use of the Services after changes become effective constitutes acceptance.


18. Governing Law & Jurisdiction

These Terms are governed by the laws of Japan, excluding conflict-of-law rules. Any dispute arising from or related to these Terms or an Order shall be subject to the exclusive jurisdiction of the [Tokyo District Court / appropriate court] in Japan, unless mandatory consumer protection laws in your jurisdiction provide otherwise.
